Director Qualification, Nomination and Election

Director qualifications:

  • Be a WP homeowner of record living in the owned property
  • Be the only homeowner from a given lot seeking election
  • Not have outstanding debts to WPHA, e.g. unpaid assessments or fines

How Many Directors?

  • By-Laws allow from 3 to 5
  • A motion to determine how many directors the membership wants is in order.
  • The terms of all current directors expire at the Annual Members Meeting.
  • Election is for all directors’ positions, not just a few currently vacant positions.

Per the meeting agenda, the chair opens nominations from the floor.

  • Any member can make a nomination.
  • Nominations are for directors only; not offices of President, Vice President, etc.
  • Member does not have to get recognition, but should allow the secretary time to post the previous nomination.
  • Member can nominate himself or herself.
  • Nomination does not need a second.
  • Member can’t nominate more than one person for director until everyone has had the opportunity to make nominations.
  • Chair can continue presiding, even if he or she is one of the nominees.
  • After each nomination, the chair repeats the name as the secretary adds the nominee to a visible list.
  • Motion to close nominations is usually not necessary unless it is apparent that members are nominating people just to honor them, and that the nominees have no intention of serving.
  • Chair closes nominations when no further nominations are made.
  • Nominees unable or unwilling to serve should ask to be removed from nomination before the vote.

The Vote

  • By secret written ballot
  • One vote per lot per each director position
  • Cumulative voting is not permitted. Same nominee’s name cannot be repeated on your ballot.
  • Chair appoints members not nominated to count the ballots
  • Persons receiving the largest number of votes shall be elected.

Vote Not Needed

  • Number of nominees less than or equal to the number of required Directors
  • Motion can be made to accept the nominees as the “elected” Directors
  • If a majority of members approve this motion, nominees are elected.
